Preamble & Identity

These General Terms and Conditions of Sale and Services (hereinafter "GTC") govern all contractual relations between BUTINE GROUPE (a French simplified joint-stock company with variable capital of €10,000, registered with the Versailles Commercial Register under no. 989 353 867, EU VAT FR32989353867, registered office: 65 B Avenue Marceau, 78600 Le Mesnil-le-Roi, France) and its business clients, private companies, local authorities and public entities (hereinafter "the Client").

Article 1 — Purpose & Scope

These GTC apply automatically to all technology advisory, software engineering, AI solution architecture, workflow automation, bespoke SaaS development, compliance audits (GDPR / EU AI Act), and professional training sessions provided by BUTINE GROUPE.

Any order confirmation or quote approval implies full, unconditional acceptance of these terms, overriding any conflicting terms contained in Client documents.

Article 2 — Orders & Contracts

Every project requires a preliminary written quote, proposal, or training agreement issued by BUTINE GROUPE.

Contracts become legally binding upon receipt by BUTINE GROUPE of the quote duly signed by an authorized Client representative, bearing the handwritten approval note, company seal, and payment of the required advance deposit.

Article 3 — Pricing & Payment Terms

Fees are agreed upon either as fixed-price packages or on a time-and-materials basis (daily rate) as defined in the accepted quote.

  • Applicable Taxes: Prices are quoted in Euros excluding VAT (€ HT) and subject to applicable statutory VAT. Continuing vocational training actions legally exempt from VAT will feature an explicit reference.
  • Deposit and Schedule: Unless agreed otherwise, an initial deposit of 30% to 50% is due upon order confirmation. Balance payments follow project delivery milestones.
  • Payment Terms: Invoices are payable within 30 calendar days from the issue date via bank wire transfer. No cash discount is granted for early payment.
  • Late Payment Penalties: Late payments automatically incur statutory interest at the ECB reference rate plus 10 percentage points, plus a statutory €40 recovery indemnity.
Article 4 — Delivery & Acceptance

Delivery timetables provided by BUTINE GROUPE are indicative and subject to the Client’s prompt delivery of all required technical assets, infrastructure access, and milestone approvals.

Delivery of software deliverables initiates a 15-business-day acceptance period. In the absence of written technical reservations within this timeframe, deliverables are deemed definitively accepted.

Article 5 — BUTINE GROUPE Obligations

BUTINE GROUPE executes all engagements in accordance with established industry standards and software best practices.

In this regard, BUTINE GROUPE is subject to an obligation of best efforts (obligation de moyens).

Article 6 — Professional Training & Qualiopi

For vocational training services, BUTINE GROUPE is officially registered under declaration no. 11788893878 and certified under the French national Qualiopi quality framework.

Educational objectives, prerequisites, welcome guides, and complaint processing procedures are systematically provided prior to enrollment in compliance with the National Quality Guidelines.

Article 7 — Intellectual Property

Subject to full payment of all agreed fees:

  • Custom Deliverables: BUTINE GROUPE assigns to the Client economic exploitation rights for software modules and reports developed exclusively for the Client’s internal business operations.
  • Pre-existing Assets & Methodology: BUTINE GROUPE retains exclusive ownership of its methodologies, generic software libraries, reusable AI agent templates, prompt architectures, and preexisting know-how.
Article 8 — Confidentiality & GDPR

Both parties agree to treat all business, technical, and commercial information exchanged during the engagement with strict confidentiality, during the contract term and for 3 years thereafter.

For all personal data processing, BUTINE GROUPE ensures compliance with EU Regulation 2016/679 (GDPR) and prioritizes sovereign European computing infrastructure.

Article 9 — Liability & Force Majeure

The aggregate cumulative liability of BUTINE GROUPE under any engagement is expressly capped at the total amount actually collected by BUTINE GROUPE for the relevant order. No indirect, incidental, or consequential damages shall give rise to compensation.

Neither party shall be held liable for failure or delay in performance caused by a recognized force majeure event.

Article 10 — Governing Law & Jurisdiction

These Terms and Conditions are governed exclusively by the laws of France.

In the event of a dispute, the parties shall seek an amicable settlement. Failing agreement within 30 calendar days, exclusive jurisdiction is conferred upon the Commercial Court of Versailles (Tribunal de Commerce de Versailles).
